Webfoot Enterprises – Hosting and Payment Processing Services for Oil Slickers Society International

Webfoot Enterprises operates as an independent internet webhosting company providing website hosting and online money-collection services to Oil Slickers Society International ("the Club"). These services enable the Club to offer products and memberships for sale through its official website.

1. Scope of Services

• Webfoot Enterprises hosts a website for the Club and facilitates secure online payment collection for all product sales and membership transactions.
• A handling fee on electronic sales through the Club's website of $2 per item sold + 4% + $0.39 per transaction (similar to competitor rates) is added to each transaction and paid directly by the customer (not deducted from the Club’s revenue or bottom line).  Processing club donations do not incur a $2 item handling fee. These fees are set at or below prevailing market rates for similar services and may be adjusted annually with Council approval.
• Webfoot Enterprises is permitted to sell and advertise its own (related) products on the Club's website.
• Webfoot Enterprises may sell or provide other products to the Club that enhance member experience per Council approval.

2. Approval and Oversight

• All terms of this arrangement, including services, fees, and the pledge herein, have been reviewed and approved by a majority vote of disinterested members of the Club's Council (excluding any conflicted parties). Ongoing transactions will be subject to periodic review by the Council to ensure continued fairness and reasonableness relative to market rates.

3. Monthly Transparency Reporting

• Each month, Webfoot Enterprises will provide a detailed sales report to the Club’s full membership. This report will include:
  • Total gross revenue from online sales and memberships.
  • Total third-party merchant account processing fees.
  • Webfoot Enterprises’ handling fees collected from sales.
• Net proceeds to the Club will be disbursed at the next regularly scheduled club meeting.

4. Pledge of Handling Fees

• All handling fees collected by Webfoot Enterprises for these services are hereby pledged in full to Oil Slickers Society International to be applied exclusively toward the repayment of the Club’s outstanding debts and the maintenance of its financial solvency.
• This pledge remains in effect until the Club has satisfied all outstanding debts and achieved sustained financial solvency (defined as at least three consecutive months of positive net cash flow, as certified by the Club’s Treasurer and approved by the Council). Upon reaching solvency, Webfoot Enterprises will retain its handling fees as standard compensation for services rendered, with any prior excess pledged funds applied as a final donation to the Club.

5. Additional Member Benefits and Club Support

• Webfoot Enterprises will offer exclusive discounts on its online internet and VW-related products to all actively paid Club members.
• Commissions earned (rate varies per product) from member purchases of Webfoot Enterprises products will be donated back to the Club, further ensuring long-term solvency.

This arrangement ensures full transparency, protects the Club’s revenue stream, provides dedicated financial support during the Club’s debt repayment and stabilization period, and delivers ongoing value to Club members.

6. Privacy & Data Protection

• Webfoot Enterprises will not share nor sell information collected by this website with any 3rd party with the sole exception of merchant services that process financial transactions for the sales on this website and for the further support of our members.
• The Club may purchase an SSL certificate provided by Webfoot Enterprises (or from another vendor) to further enhance security features of the website.

Disclosure: Webfoot Enterprises is wholly owned/operated by Glenn C Obert, an officer of the Club (title: Administrator). This arrangement was entered into at fair market value to support the Club’s operations and exempt purposes, with no undue benefit to the officer or company beyond disclosed terms.
